V. Licensing Declaration
The Patent Holder states that its position with respect to licensing any patent claims contained in the patent(s) or patent application(s) disclosed above that would necessarily be infringed by implementation of the technology required by the relevant IETF specification ("Necessary Patent Claims"), for the purpose of implementing such specification, is as follows(select one licensing declaration option only):

This letter sets forth holder's patent licensing policy regarding any IETF Standard. The patent holder, in accordance with her own general licensing policy, is prepared to license its IPR on reasonable, non-exclusive, non-discriminatory terms and conditions. In particular, the patent holder is willing to negotiate nonexclusive licenses under her IPR to allow the manufacture, use, sale, offer for sale and importation of the portions of any product that implement and are compliant with all relevant portions of the standard; provided that these licenses may not extend to any part or function of a product that is not required to implement or comply with the standard. In given circumstances, the patent holder's license grant may be conditioned upon the licensee's grant of a reciprocal license under the licensee's IPR and IPR owned by parties with which licensee is affiliated. In assessing reasonable royalty rates, the holder may refer to the royalty rates that a potential licensee has set for its own IPR and IPR of parties with which it may be affiliated. InfoRender also reserves the right to grant licenses to its IPR as part of a cross-license with any other party. Similarly, when and if patent applications are subsequently issued, and determined essential to the practice of an IETF standard, patent holder is willing to make available nonexclusive licenses under such patents, reasonable, and non-discriminatory terms and conditions. The terms apply to those patents for which the patent holder has the right to grant licenses. Notwithstanding patent licenses entered into with the patent holder, the patent holder reserves the right to assert any patents controlled by her against any party for making, using, selling, importing or offering for sale a product that implements the standard, including patent licensees, for royalties (or damages, etc.) covering periods of time prior to the term of the license. |
