Subject to a license agreement being made before use of our Essential Patents (as hereinafter defined) and subject to a reciprocal license under similar conditions being available to Alcatel Lucent and its Subsidiaries under Essential Patents of the applicant, Alcatel Lucent hereby declares: Alcatel Lucent is prepared to grant licenses under such Essential Patent of Alcatel Lucent on non-discriminatory, reasonable terms and conditions for implementation of such IETF Standard in any country where such IETF Standard is to be applied and a pertinent Essential Patent of Alcatel Lucent or any of its Subsidiaries does exist. Definition of Subsidiaries: “Subsidiaries” of Alcatel Lucent shall mean all companies controlled by Alcatel Lucent, “to control” within the meaning of this declaration means to have directly or indirectly, a controlling interest in such company, at any time after this declaration has been given and as long as such an interest exists, by owning a majority of the voting stock or equivalent voting rights. |

This is to advise the IETF, in accordance with the IETF RFCs 3979 and 4879, that Alcatel Lucent believes that patent application US20160241484 and its associated patent family members, (together “the Disclosed Patents”) may be required to implement the following IETF contribution: Internet Draft: draft-briscoe-aqm-dualq-coupled (“the Contribution”). Subject to Reciprocity and to the extent that the Contribution is incorporated in IETF RFC [Number To Be Confirmed] (“the IETF RFC”), Alcatel Lucent (the “Covenantor”) covenants not to assert, against any entity, those claims of the Disclosed Patents only that would, in the absence of a license, be necessarily infringed by the use of a right (e.g. making, using, selling, importing, distributing, etc) with respect to a technology fully implementing such IETF RFC. In this context, “necessarily infringed” means that such claims are technically necessary to implement the IETF RFC. For the avoidance of doubt, the above covenant is limited to the IETF RFC and does not apply to any other IETF standard or other standard setting body’s standards. “Affiliate” means any other legal entity that is at any given time directly or indirectly controlling, controlled by or under the common control with the relevant legal entity. Control in this context, exists where one entity owns more than fifty percent (50%) of the voting stock or equity in another legal entity, or regardless of stock or equity ownership, is otherwise able to direct its affairs or to appoint a majority of the members of the board of directors or an equivalent body to determine the course of action of the entity by virtue of its voting or other rights. Such entities shall only be deemed to be Affiliates hereunder for the time such control exists. “Reciprocity” includes retaining the right to assert the Disclosed Patents against any entity, and its Affiliates, that asserts any patent(s) that it owns or controls (directly or indirectly) either against the Covenantor, or any of its Affiliates or any successor in title to them, or against any products, or portions thereof, of the Covenantor, its Affiliates or supplied by the Covenantor, or its Affiliates, to their customers either alone or in combination with other products. |
