VI. Licensing Declaration

The Patent Holder states that its position with respect to licensing any patent claims contained in the patent(s) or patent application(s) disclosed above that would necessarily be infringed by implementation of the technology required by the relevant IETF specification ("Necessary Patent Claims"), for the purpose of implementing such specification, is as follows(select one licensing declaration option only):

If the technology in this document is included in an audio codec standard adopted by the IETF (“Standard”), Skype will grant a royalty free license to any claims of the disclosed patents that are infringed by a reference implementation of the standard, to any person or entity for using, making, selling, offering for sale, or importing (i) a decoder that fully complies with the Standard (“Compliant Decoder”) or (ii) an encoder that encodes a bit stream that is capable of being decoded by a Compliant Decoder (“Compliant Encoder”). The foregoing license will be limited to those portions of any Compliant Encoder that are used solely to encode a bit stream that can be decoded by a Compliant Decoder, and those portions of any decoder that are used to decode a bit stream that can be encoded by a Compliant Encoder.

Skype will grant the license subject to the licensee undertaking not to assert any patents, against Skype or any third party, that are infringed by any implementation of the Standard or part of the technology included therein, and granting a royalty free license to any such patents to any party implementing the Standard or technology included therein. Skype will retain the right to terminate the license and assert its patents (including the right to claim past royalties) against any licensee that asserts or whose affiliate asserts any patent (either directly or indirectly) against Skype or any of Skype’s affiliates or successors in title. A royalty bearing option will also be available.

Skype grants a royalty free license to any claims of the patents disclosed in Section V of this IPR disclosure that are infringed by a reference implementation of the Standard to any person or entity for using, making, selling, offering for sale, or importing (i) a decoder that fully complies with the Standard (“Compliant Decoder”) or (ii) an encoder that encodes a bit stream that is capable of being decoded by a Compliant Decoder (“Compliant Encoder”). The foregoing license will be limited to those portions of any Compliant Encoder that are used solely to encode a bit stream that can be decoded by a Compliant Decoder, and those portions of any decoder that are used to decode a bit stream that can be encoded by a Compliant Encoder.

The above license is granted subject to the licensee undertaking not to assert any patent, against Skype or any third party in relation to any implementation of the Standard or any part thereof, that is infringed by any implementation of the Standard or part of the technology included therein (each, a “Relevant Patent”), and granting a royalty free license to any Relevant Patent for any party implementing the Standard or any technology included therein. Notwithstanding the foregoing, the licensee shall be released from its undertaking not to assert any Relevant Patent with respect to a third party who asserts or otherwise claims or alleges infringement of any Relevant Patent against the licensee for implementing the Standard. Skype will retain the right to terminate the license and assert its patents (including the right to claim past royalties) against any licensee that asserts or whose affiliate asserts any patent (either directly or indirectly) against Skype or any of Skype’s affiliates or successors in title. A royalty bearing option will also be available.

For the purposes of this Licensing Declaration, “Standard” means the Internet Draft specified in Section IV of this IPR disclosure (draft-ietf-opus-codec-07) or future updates of draft-ietf-opus-codec, or the standards track RFC produced from it.

Note: The individual submitting this template represents and warrants that he or she is authorized by the Patent Holder to agree to the above-selected licensing declaration.
