VI. Licensing Declaration

The Patent Holder states that its position with respect to licensing any patent claims contained in the patent(s) or patent application(s) disclosed above that would necessarily be infringed by implementation of the technology required by the relevant IETF specification ("Necessary Patent Claims"), for the purpose of implementing such specification, is as follows(select one licensing declaration option only):

Previous (#826) This (#839)
See Text Below for Licensing Declaration Licensing See Text Below for Licensing Declaration

The Patent Holder is prepared to grant, on the basis of reciprocity in
accordance with the above IETF specification, a license to an unrestricted
number of applicants. Such licenses shall be on a worldwide, non-discriminatory
basis and on reasonable terms and conditions permitting licensee to make, use
and sell implementations of the above IETF specification.

The Patent Holder is prepared to grant a "free" license to any
prospective licensee if such prospective licensee will commit to license its own
essential patent(s) or essential patent claim(s) for implementation of any IETF
specification for "free".

In addition, the Patent Holder retains the right to withdraw such license and
assert any of its patents against any party that asserts a patent it owns or
controls against the Patent Holder or any of Patent Holder's affiliates or
successors in title.

The word "free", as used herein, does not mean that the Patent Holder is
waiving all of its rights with respect to the essential patent. Rather, "free"
refers to the issue of monetary compensation; i.e., that the Patent Holder will
not seek any monetary compensation as part of the licensing agreement (whether
such compensation is called a royalty, a one-time licensing fee, etc.). However,
while the Patent Holder in this situation is committing to not charging any
monetary amount, the Patent Holder is still entitled to require that the
implementer of the IETF specification sign a license agreement that contains
other reasonable terms and conditions such as those relating to governing law,
field of use, reciprocity, warranties, etc.
