Right to Use:

If this Standard is adopted by IETF and any claims of any patents owned by the Patent Holder are
necessary for practicing the Standard, the Patent Holder will offer a party a limited, non-exclusive,
world-wide, non-transferable right to use any such patent claims under reasonable, non-discriminatory
terms to implement and fully comply with the Standard, subject to rights of reciprocity and suspension
or termination for assertion against a third party.

Right to Sell:

If this Standard is adopted by IETF and any claims of any patents owned by the Patent Holder are
necessary for practicing the Standard, the Patent Holder will offer a party a limited, non-exclusive,
world-wide, non-transferable right, subject to the notice requirement below, to sell a product or service
implementing any such patent claims under reasonable, non-discriminatory terms to implement and
fully comply with the Standard (“Seller”) to a buyer who accepts and agrees to comply with the
reasonable, non-discriminatory terms, subject to rights of reciprocity and suspension or termination for
assertion against a third party. The Seller shall provide a buyer with the following written notice:

The use of this product or service is subject to the reasonable, non-discriminatory terms in the
Intellectual Property Rights (IPR) Disclosure of Certicom Corp. at the IETF for ZRTP: Media Path
Key Agreement for Unicast Secure RTP implemented in the product or service.

Such written notice may be included in written documentation accompanying tangible hardware or
software products or embodied in viewable documentation accompanying electronically distributed
products or processes.

Royalty-bearing licenses will be available to anyone who prefers that option
